Great Lakes Wine & Spirits in Highland Park has entered into a purchase agreement with RNDC Michigan in Livonia to potentially acquire its ADA business, and together with Imperial Beverage in Kalamazoo and Vintage Wine Co. in Roseville, to potentially acquire RNDC Michigan’s wine business.

GLWAS also is partnering with National Wine and Spirits to prospectively acquire RNDC’s building in Livonia. Terms of the possible deals were not disclosed.

On July 26, RNDC (Republic National Distributing Co. in Grand Prairie, Texas) initiated a voluntary Chapter 11 process to explore potential sale transactions in court and implement an orderly wind down of its remaining operations. National Distributing Co. Inc. is not part of the Chapter 11 filing.

In light of RNDC’s Chapter 11 filing, the transactions are subject to approval by the U.S. Bankruptcy Court for the Southern District of Texas and the satisfaction of certain customary regulatory approvals and closing conditions.

“Our associates have played an important role in building RNDC’s presence in Michigan, and we are deeply grateful for their dedication and contributions over the years,” says Marc Sachs, president and CEO of RNDC. “This represents an important step in our efforts to transition our Michigan operations responsibly. We appreciate the collaboration of GLWAS, Imperial Beverage, and Vintage Wine Co. as we work through this process, with a continued focus on supporting our associates, customers, and supplier partners.”

In recent years, the adult beverage industry has evolved as consumer demand has slowed.

“We all recognize the responsibility that comes with this potential acquisition,” says Lewis Cooper, Co-CEO of GLWAS. “We are looking forward to working with the MLCC, retailers, and suppliers and hearing their ideas and concerns about how we can help improve the best Control State Model in the country.”

The parties are working to close the pending transactions between Oct. 30, 2026 and Nov. 15, 2026.

Syd Ross, co-CEO of GLWAS, adds, “If the pending transaction closes, the ADA business would still be operated as NWS and our priority is ensuring a smooth transition for our suppliers, customers, and employees.”

Great Lakes Wine & Spirits is a family-owned and operated wholesale alcohol distributor that operates across Michigan’s 83 counties. The company distributes more than 6,000 unique wines, 3,000-plus spirits, and hundreds of beer and alternative beverage options to commercial customers.
